Design Terms

All work is carried out by Gray Thought Solutions LLC ("Gray Thought", "we", "us", "our") on the understanding that the client ("Client") has agreed to our design terms and conditions.
Deposit: Design projects require at least a 50% deposit prior to commencement unless agreed in writing that this term has been changed. Once the design is approved by Client, the remaining balance is due immediately. The initial [50%] deposit is not refundable. However, if Client is not satisfied after all concepts and comprehensives have been presented, the remaining balance will not be due. In such a rare case, Gray Thought will retain copyright of all words, pictures, ideas, visual and illustrations.
Revisions and Alterations: Each design package has a certain number of revision rounds. Small and minor adjustments will not be unreasonably withheld and will be provided free of charge. However, major alterations and itemized changes will be counted towards the allotted number of revision rounds. Additional rounds can be purchased for $15 USD and will be completed in a timely manner. Client agrees that changes required over and above the estimated work or required to be carried out after acceptance of the [concept] design will be liable to a separate charge. Client also agrees that Gray Thought holds no responsibility for any amendments made by any third party, before or after a design is published.
Copyright: Copyright is retained by Gray Thought on all design work including words, pictures, ideas, visuals, and illustrations until payment has been made in full. If a choice of design is presented, only one specific design is deemed to be given by Gray Thought. All other designs including words, pictures, ideas, visuals, and illustrations remain the property of Gray Thought, unless agreed in writing that this arrangement has been changed. Once payment has been made in full for the project, copyright for the specific design is transferred to client. Source files are not provided unless otherwise noted. We retain copyright and ownership of source files as they are deemed Intellectual Property of Gray Thought. We reserve the right to sell copyright and ownership of our source files for a fee determined at the sole discretion of Gray Thought. As an example of the fee, we may, at our sole discretion, sell the source files of print designs for 50% of the project's total original price.
Content Supplied by Client: Client agrees to supply Gray Thought with all necessary materials, electronic or otherwise, required to create and complete the project, and to supply them in a timely manner. By supplying text, images, and other data to Gray Thought for inclusion in Client's website or other medium, Client declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with Client, or rightful copyright or trademark owner. By supplying images, text, or any other data to Gray Thought, Client grants Gray Thought permission to use this material freely in the pursuit of the design. Client agrees to fully indemnify and hold Gray Thought free from harm in any and all claims resulting from Client in not having obtained all the required copyright and/or any other necessary permissions.
General: Gray Thought considers the design project complete upon receipt of Client's signed Approval form. Other services such as printing, display panel production, filmwork, website uploading, publishing, etc constitute a separate project and will be treated as a separate charge. These Design Terms supersede any previous policies distributed in any form, unless specific terms for a specific project have been made in writing and have been agreed to by both parties. Gray Thought reserves the right to change any prices and any of the policies at any time and without prior notice.
Disclaimer: Gray Thought makes no warranties of any kind, express or implied, for any and all design products and/or services that it supplies. Gray Thought will not be held responsible for any and all damages resulting from products and/or services it supplies. Gray Thought is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. Client agrees to not hold Gray Thought responsible for any such loss or damage. Any claim against Gray Thought shall be limited to the relevant fee(s) paid by Client. Gray Thought reserves the right to use the services of contractors, sub-contractors, agents, and suppliers and any work, content, services and usage is bound by their Terms, if any. Gray Thought will not knowingly perform any actions to contravene these and Client also agrees to be so bound.
